WHISTLEBLOWING: REPORT SAFELY
Fater S.p.A. considers it essential to comply with the ethical and transparency principles adopted by the Group, as well as to observe the laws and regulations of the countries in which it operates.
In this context, the Company has implemented a process for collecting and managing reports (so-called “whistleblowing”) that is designed to ensure the highest level of protection and confidentiality for both (i) the individuals who submit reports (the “Reporting Persons”) and (ii) the individuals who are the subject of reports (the “Reported Persons”).
WHO MAY SUBMIT A REPORT
Anyone may submit a report. By way of example, reports may be submitted by: employees, contractors/collaborators, self-employed workers, consultants, suppliers, interns/trainees, job applicants/candidates, former employees, persons performing administrative/management/supervisory functions, and any individual who interacts or has interacted with Fater.
The whistleblowing process also permits reports to be submitted on an anonymous basis.
WHAT MAY BE REPORTED
Reports may concern violations that harm the public interest or the integrity of Fater, including, for example:
– unlawful acts and violations relevant under Italian Legislative Decree No. 231/2001 (including the Code of Ethics and the “231 Model”);
– conduct not compliant with applicable laws, regulations, or internal policies and procedures (e.g., health and safety, environment, cybersecurity, etc.);
– SA8000 violations/nonconformities;
– violations of national laws or European Union provisions.
REPORTING CHANNELS
To ensure broad and non-discriminatory access for anyone wishing to submit a report concerning Fater S.p.A., multiple alternative reporting channels are available, specifically:
1. Digital platform:Accessible via the intranet or the Fater website at the following link: https://whistleblowing.fatergroup.com.
Each report is assigned a key code enabling tracking and confidential dialogue with the Whistleblowing Team, including on an anonymous basis.
2. Dedicated telephone number:A recorded voice message may be left at the following number: 0853552958.
3. In-person meeting:If you wish to submit a report through a meeting, the meeting may be requested via the digital platform or the telephone number. The Whistleblowing Team will provide the date, location, and arrangements for the meeting within 7 days of the request.
4. Supervisory Body pursuant to Italian Legislative Decree No. 231/2001 (Organismo di Vigilanza, “OdV”):Reports relating to offenses under Italian Legislative Decree No. 231/2001 may also be submitted to the OdV at:odvfaterspa@fatergroup.com.
Please use exclusively the reporting channels identified herein, as they are designed to ensure appropriate confidentiality requirements and data protection safeguards, in full compliance with applicable law and the above-referenced Guidelines.
These channels are intended exclusively for reports of unlawful acts and violations as regulated by whistleblowing legislation. They are not intended for complaints or consumer services, for which dedicated channels are available.
An external report to ANAC or a public disclosure may be made in the cases provided for by Italian Legislative Decree No. 24/2023; for the applicable conditions and procedures, please refer to the ANAC website.
WHAT HAPPENS AFTER A REPORT IS SUBMITTED
All reports are transmitted and handled through a process set out in the Company Whistleblowing Procedure, in compliance with Italian Legislative Decree No. 24/2023, as well as the “Guidelines on internal reporting channels for whistleblowing”, approved by Resolution of the Italian National Anti-Corruption Authority (ANAC) No. 478 dated November 26, 2025.
The Whistleblowing Team will issue an acknowledgment of receipt within 7 days of receipt of the report and will provide follow-up and feedback on the reported matters within 3 months, as provided for by the Procedure.
PROTECTION OF REPORTING PERSONS AND REPORTED PERSONS
Regardless of the reporting channel used, the protection and confidentiality of the identity of the Reporting Person and the Reported Person are always ensured, including through processing of personal data in accordance with applicable law and the adoption of appropriate safeguards.
Retaliatory or discriminatory acts, whether direct or indirect, against a Reporting Person for reasons connected, directly or indirectly, to the report are prohibited.
Protection against retaliation and discrimination also extends to individuals connected to the Reporting Person (e.g., facilitators and individuals within the same working context), as provided for by applicable law and the relevant Procedure.
SA8000 STANDARD COMPLIANCE
Fater S.p.A. engages stakeholders to ensure sustainable compliance with the SA8000 Standard. Comments, recommendations, reports, or complaints regarding SA8000 compliance can be submitted through the following channels:
1. Online Platform: Whistleblowers can choose to remain anonymous. Access the platform at https://whistleblowing.fatergroup.com.
2. DNV Business Assurance Italy: Email your concerns to feedback.italia@dnv.com .
3. Social Accountability International (SAI) or Social Accountability Accreditation Services (SAAS): References are provided in the SA8000:2014 Social Responsibility Policy.
This procedure is confidential, impartial, and non-retaliatory. Upon receiving a report or complaint, Fater S.p.A. guarantees:
1. Maximum confidentiality regarding the information provided.
2. The option to maintain anonymity.
3. In cases of non-anonymous reports or complaints, no disciplinary action, termination, or any form of discrimination will be taken against personnel or stakeholders who provide information about SA8000 compliance or file workplace-related complaints.
Fater S.p.A. commits to acknowledging receipt of the report or complaint within seven working days after it has been reviewed by the Social Performance Team. This allows the reporting party to confirm that the organization has received their submission and to understand the estimated timeline for resolution based on the subject matter.
Fater S.p.A. also commits to providing the reporting party with feedback on the actions taken and resolutions implemented within three months of receipt. This feedback will be communicated using methods determined by the Social Performance Team, depending on the nature of the report or complaint.
